1. Overview of Services

DepxTech Corp. ("DepxTech," "we," "us," or "our") operates a technology trade-in platform through the website depxtech.com (the "Site"). Our services allow individuals to sell their used electronics, including but not limited to smartphones, tablets, laptops, desktops, gaming consoles, and related accessories (collectively, "Devices") to DepxTech in exchange for monetary compensation.

By using our Site or submitting a trade-in request, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our services.

2. Binding Agreement

These Terms constitute a legally binding agreement between you and DepxTech. By completing a trade-in submission through our Site, you confirm that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal authority to enter into this agreement
• You are the lawful owner of the Device(s) being submitted for trade-in, or are fully authorized by the owner to sell them
• The Device(s) are not stolen, fraudulently obtained, or subject to any liens, claims, or encumbrances
• All information you provide during the trade-in process is truthful and accurate

DepxTech reserves the right to refuse service, cancel transactions, or take legal action if any of the above representations are found to be false.

3. Trade-In Process

3.1 Obtaining a Quote

You may request an estimated trade-in value by selecting your Device and answering questions about its condition on our Site. The quote generated is an estimate only and is not a guaranteed offer. Final valuations are determined after physical inspection of the Device by our team.

3.2 Submitting Your Device

After receiving your estimated quote, you may choose to proceed by shipping your Device to us. You are responsible for ensuring the Device is properly packaged to prevent damage during transit. DepxTech is not liable for damage that occurs during shipping.

3.3 Inspection and Evaluation

Upon receiving your Device, our technicians will conduct a thorough inspection and functional assessment. This evaluation includes but is not limited to:

• Physical condition assessment (scratches, dents, cracks, water damage indicators)
• Functional testing of all hardware components (display, battery, ports, buttons, cameras, speakers, etc.)
• Software verification (activation lock status, carrier lock status, IMEI/serial number validation)
• Verification that all reported information matches the actual Device received

4. Device Eligibility

Not all Devices are eligible for trade-in. DepxTech reserves the right to decline any Device at our sole discretion. Devices may be ineligible if they:

• Are reported as lost or stolen
• Have an active Find My Device, iCloud Activation Lock, or similar security lock enabled
• Are carrier-locked and reported as having an outstanding balance or contract obligation
• Have been substantially modified from their original manufacturer specifications
• Contain hazardous materials or present safety risks (e.g., severely swollen batteries)
• Are counterfeit, replica, or misrepresented products

If a Device is found to be ineligible after receipt, we will notify you and arrange for its return at your expense, or you may authorize us to recycle the Device on your behalf.

5. Pricing and Revised Offers

5.1 Estimated Quotes

All quotes provided through our Site are estimates based on the information you supply. These estimates are subject to change based on market conditions, inventory levels, and the results of our physical inspection.

5.2 Revised Offers

If our inspection reveals that the Device differs from what was described during the quote process (e.g., additional cosmetic damage, non-functional components, incorrect model or specifications), we may issue a revised offer reflecting the actual condition. You will be notified of any revised offer and may:

• Accept the revised offer and receive the adjusted payment
• Decline the revised offer and request the Device be returned to you at your expense

If we do not receive a response within fourteen (14) calendar days of notifying you of a revised offer, we may, at our discretion, process the revised offer as accepted.

5.3 Price Fluctuations

The value of used electronics fluctuates based on market demand, product lifecycle, and other factors. DepxTech does not guarantee that a quoted price will remain available indefinitely. Quotes are valid for the period specified at the time of submission.

6. Shipping

6.1 Shipping Methods

You may ship your Device using a DepxTech-provided shipping label (when available) or through your own preferred carrier. When using your own carrier, you are responsible for all shipping costs and must use a trackable shipping method with insurance.

6.2 Risk of Loss

You bear all risk of loss or damage to the Device during transit until the Device is received and signed for at our facility. We strongly recommend purchasing shipping insurance for the full estimated value of your Device. DepxTech is not responsible for Devices that are lost, damaged, or stolen in transit.

6.3 Packaging Requirements

Devices must be securely packaged in appropriate materials to prevent damage during shipping. DepxTech is not liable for damage resulting from inadequate packaging. We recommend using the original product packaging when available, or sturdy boxes with sufficient padding material.

7. Payment

7.1 Payment Methods

Upon acceptance of a trade-in offer (whether original or revised), payment will be issued through your selected payment method. Available payment methods include:

• PayPal — sent to your registered PayPal email address
• Zelle — sent to your registered Zelle email or phone number
• Venmo — sent to your Venmo username
• Cash App — sent to your Cash App $cashtag
• Bitcoin — sent to your Bitcoin wallet address

You are responsible for ensuring the accuracy of the payment details you provide. DepxTech is not liable for payments sent to incorrect accounts due to errors in the information you supplied.

7.2 Payment Timing

Payments are typically processed within three (3) to five (5) business days after acceptance of the offer and completion of Device inspection. Processing times may vary depending on the payment method selected and factors outside our control.

7.3 Taxes

You are solely responsible for any tax obligations arising from payments received through our trade-in program. DepxTech does not withhold taxes from payments and does not provide tax advice. We recommend consulting a tax professional regarding your specific situation.

8. Data and Privacy

8.1 Data Removal

Before submitting your Device for trade-in, you are strongly advised to:

• Back up all personal data, files, photos, and other content stored on the Device
• Sign out of all accounts (iCloud, Google, Samsung, etc.)
• Disable Find My Device, Activation Lock, or any similar security features
• Perform a factory reset to erase all personal data
• Remove SIM cards, memory cards, cases, and any accessories not included in the trade-in

While DepxTech will make reasonable efforts to wipe data from received Devices, we cannot guarantee the complete removal of all data. DepxTech is not responsible for any personal data remaining on Devices after submission. You acknowledge and accept the risk of any residual data.

8.2 Personal Information

Information you provide during the trade-in process is handled in accordance with our Privacy Policy. We collect only the information necessary to process your trade-in and facilitate payment.

9. Transfer of Ownership

Once a trade-in offer is accepted and payment is issued, ownership of the Device transfers to DepxTech. After the transfer of ownership:

• The sale is final and non-reversible
• You relinquish all rights, title, and interest in the Device
• DepxTech may refurbish, resell, recycle, or dispose of the Device at its sole discretion
• You may not request the return of the Device after payment has been processed

10. Prohibited Activities

You agree not to engage in any of the following activities in connection with our services:

• Submitting stolen, fraudulently obtained, or counterfeit Devices
• Providing false, misleading, or inaccurate information about a Device or yourself
• Attempting to manipulate or circumvent our pricing algorithms or valuation process
• Using the services for money laundering or any other illegal financial activity
• Interfering with, disrupting, or attempting to gain unauthorized access to our systems
• Submitting Devices that pose health or safety risks

Violation of these prohibitions may result in termination of service, forfeiture of payment, and referral to appropriate law enforcement authorities.

11. Intellectual Property

All content, branding, logos, trademarks, software, and materials available on our Site are the intellectual property of DepxTech or its respective licensors. You may not reproduce, distribute, modify, or create derivative works from any of our content without express written permission.

12. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, DepxTech disclaims all warranties, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of information on our Site
• Warranties of uninterrupted or error-free service availability
• Warranties regarding the results or outcomes of using our services

DepxTech does not guarantee that the Site will be free from viruses, security threats, or other harmful elements.

13. Limitation of Liability

To the fullest extent permitted by law, DepxTech, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your use of or inability to use our services
• Any errors, inaccuracies, or omissions in our content or quotes
• Loss of or damage to Devices during shipping
• Unauthorized access to or alteration of your data or transmissions
• Any third-party actions or content

In no event shall DepxTech's total liability to you exceed the amount of the trade-in payment associated with the specific transaction giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless DepxTech, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our services
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your submission of a Device you did not have the right to sell
• Any claim by a third party arising from your actions

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration taking place in New York, New York.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against DepxTech. All claims must be brought on an individual basis.

16. Modifications to Terms

DepxTech reserves the right to update, modify, or replace these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity or enforceability of the remaining provisions. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DepxTech regarding the use of our services. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
